Terms of Use

These Terms incorporate our Privacy Policy, Disclaimer of Liability, Refunds, and Chargeback Policy, Risk Disclosure Statement, and the rules, pricing, payout criteria, and other conditions displayed or linked for the program you select before purchase (the "Program Rules").

A checkout term or Program Rule specific to a purchased program controls over a general provision in these Terms for that program. A separately signed live-capital, contractor, or trader agreement controls over these Terms to the extent it expressly says so.

Boxcar's program is designed as a staged path. Participants begin with a simulated futures-trading evaluation. After satisfying the applicable Program Rules and review, a participant may receive a simulated funded account, where qualifying performance may earn approved payouts. Boxcar may then consider a participant for a separately offered live-capital arrangement based on consistent performance, risk management, compliance, and the criteria in the applicable Program Rules.

Evaluation and simulated funded accounts use virtual funds and market data. Orders in those stages are not placed in a live market. Only an account expressly designated as live under a separate written agreement uses Boxcar company capital and places orders in live markets through a designated brokerage provider.

You do not deposit trading capital with Boxcar and cannot lose more to Boxcar through simulated trading than the fees you authorize. Selection and timing for a live-capital arrangement are discretionary and are not guaranteed by passing an evaluation, receiving a simulated funded account, earning a payout, or reaching any particular result. A selected participant must complete any required verification and onboarding and accept a separate written agreement before trading live company capital.

To use the Services, you represent and warrant that:

• you are at least 18 years old and have legal capacity to enter a binding contract;
• the information you provide is truthful, current, and complete;
• you register personally or for a business you are authorized to represent and bind to these Terms;
• your use is lawful where you live and where you access the Services; and
• you are not subject to sanctions, trade restrictions, or another legal prohibition that prevents Boxcar or its providers from serving you.

Boxcar may require identity, residency, tax, sanctions, payment, or fraud checks before opening an account, granting access, approving a payout, or offering live company capital. Availability in a country or state may change if law or a required provider restricts service there.

Each trader may create only one permanent Boxcar profile, registered using either personal or business information. Choose at registration: a personal profile cannot be converted to a business profile, and a business profile cannot be converted to a personal profile. You may not deactivate or replace a profile to create another one.

Your account and credentials are personal to you. You must protect them, use accurate account information, and promptly notify Boxcar of suspected unauthorized access. You are responsible for activity performed through your account unless caused by Boxcar's failure to use reasonable security measures.

You may not sell, transfer, rent, share, or allow another person to trade or request payouts through your account. A business registration does not permit shared access or additional trader profiles. Within your single profile, the number and types of evaluation or funded accounts you may hold are governed by the applicable Program Rules.

Each program may have its own profit target, drawdown method, position limits, eligible products, trading schedule, minimum activity, consistency requirements, payout criteria, live-review criteria, and other rules. Review the complete Program Rules before purchasing or trading. Passing an evaluation, receiving a payout, and selection for a live-capital arrangement are not guaranteed.

Boxcar will apply the Program Rules made available for the program at the time of purchase. We may make prospective changes for later purchases. We may also make a change to an active program when reasonably necessary to comply with law, respond to an exchange or platform requirement, correct an obvious error, or protect the integrity and security of the Services. When practical, we will give advance notice of a material change affecting an active account.

Account results may be corrected when reliable records show a data, pricing, execution, calculation, or platform error, duplicate event, or prohibited conduct. Boxcar may request information reasonably needed to review an account. You may ask support to review a decision that you believe was based on incorrect data or an incorrectly applied rule.

You may not use the Services to:

• violate law, exchange rules, platform terms, or the applicable Program Rules;
• manipulate, disrupt, or exploit the Website, a simulated market, a data feed, pricing, latency, an execution error, or another technical defect;
• coordinate accounts, hedge or offset activity across accounts, copy trades, or use automation in a manner prohibited by the Program Rules;
• trade for another person, allow another person to trade for you, or misrepresent who controls an account;
• evade eligibility, identity, location, account, payment, or technical restrictions;
• access data or systems without authorization, scrape or overload the Services, transmit malicious code, or interfere with another person's use;
• commit fraud, submit falsified information, abuse promotions, or use an unauthorized payment method; or
• harass, threaten, or abuse staff, contractors, or other users.

This section prohibits fraud, system abuse, and circumvention. Trading techniques that are not inherently abusive are restricted only when the applicable Program Rules disclose that restriction.

Simulated gains do not automatically create a debt or withdrawal right. A payout becomes payable only after you submit a valid request, satisfy the applicable Program Rules, complete any required verification, and receive Boxcar's approval. Advertised profit splits are maximum program percentages, not a promise that you will earn or receive a particular amount.

Payouts for a business profile must be made to that verified business. Before any business payout, you must provide formation documents, evidence of business ownership, and government-issued photo identification for each individual who owns 25% or more of the business. Boxcar must review and verify these documents before approving a business payout.

Approved simulated-funded payouts are compensation paid from Boxcar's funds under the program—not investment returns, distributions from a customer account, or withdrawals of simulated funds. Processing estimates are targets, not guarantees, and may be affected by review, weekends, banking systems, payment providers, or legal requirements. Compensation, profit sharing, and withdrawals associated with an accepted live-capital arrangement are governed by its separate written agreement.

You are responsible for taxes, filings, and other obligations arising from amounts paid to you. Boxcar may request tax forms, report payments, or withhold amounts when required by law.

Evaluation fees displayed by Boxcar are one-time charges unless checkout clearly identifies a different charge and you separately authorize it. Boxcar does not automatically renew an evaluation fee. You authorize the price, taxes, and other charges shown at checkout and represent that you are authorized to use the selected payment method.

We may correct an obvious pricing or checkout error. If we cancel an order after charging you because of our error, we will reverse or refund the affected charge. All other refund eligibility, technical-issue treatment, and chargeback terms appear in our Disclaimer of Liability, Refunds, and Chargeback Policy.

Boxcar may offer promotional codes, discounts, referral benefits, service credits, or other limited offers. The eligibility, expiration, permitted uses, and other conditions displayed with an offer form part of these Terms. Unless the offer says otherwise, a promotion or credit has no cash value, is not transferable or redeemable for cash, and may not be combined with another offer.

You may not obtain or use an offer through fraud, account duplication, automation, unauthorized sharing or resale, or circumvention of an eligibility or use limit. Boxcar may reject or reverse an improperly applied promotion, correct an obvious promotional error, or suspend an account involved in promotion abuse. If Boxcar cancels an order after charging you because of its own pricing or promotion error, it will reverse or refund the affected charge.

The Services may depend on third-party websites, trading platforms, market-data services, payment and payout processors, banks, identity or tax services, and other providers. A live-capital arrangement may also depend on a designated broker, futures commission merchant, carrying firm, or execution provider. Their terms and privacy notices govern your direct relationship with them. Boxcar does not control their systems and is not responsible for their independent acts or omissions.

Platform availability, market data, order simulation, live order routing or execution, and communications can be delayed, interrupted, or inaccurate. You are responsible for a compatible device, supported software, and a stable internet connection. The Disclaimer of Liability, Refunds, and Chargeback Policy explains how technical incidents are handled.

To provide and protect the Services, Boxcar may receive and process account identifiers, simulated orders and trades, balances, performance, rule-compliance events, account status, payout records, device data, and security or diagnostic logs from you and from providers used for the Services. If you accept a live-capital arrangement, this information may also include brokerage identifiers, live orders and executions, positions, risk settings, and live-account status.

Boxcar may use this information to administer accounts, calculate and verify results, apply Program Rules, provide support, investigate fraud or technical incidents, protect the Services, comply with law, and improve operations. Personal information is handled as described in the Privacy Policy. Boxcar may also create and use aggregated or deidentified information that cannot reasonably be linked to an individual.

The Services and their original software, text, graphics, branding, design, compilations, and other content are owned by Boxcar or its licensors and are protected by applicable intellectual-property laws. Third-party names and marks belong to their respective owners and are used only to identify compatible products or services unless stated otherwise.

Subject to these Terms, Boxcar grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Services for your personal participation in an authorized program. You may not copy, sell, sublicense, reverse engineer, publish, create derivative works from, or commercially exploit the Services except where law does not permit a restriction or Boxcar gives written permission.

Boxcar provides simulated evaluation services, may separately offer selected participants access to company live capital, and provides general information. Nothing in the Services is individualized investment, legal, tax, or financial advice; an offer to buy or sell a futures contract or other financial instrument; or a guarantee of profit. No Boxcar representative is authorized to give investment advice on Boxcar's behalf.

Boxcar is not your broker, futures commission merchant, commodity trading adviser, investment adviser, or fiduciary, and Boxcar does not accept customer deposits for trading. If you are selected and accept a separate live-capital agreement, you may be authorized to trade Boxcar company capital through a designated third-party brokerage provider. That arrangement does not make Boxcar your broker, adviser, or fiduciary. You decide whether to accept the arrangement and should assess whether live futures trading and its separate terms are appropriate for you.

We may maintain, modify, suspend, or discontinue a feature or program. We do not promise that the Services will always be available, uninterrupted, secure, or error-free. If discontinuing a paid program prevents us from providing the material service you purchased, we will provide an appropriate remedy as required by the Program Rules, our Disclaimer of Liability, Refunds, and Chargeback Policy, and applicable law.

Boxcar may restrict, suspend, or terminate access when we reasonably believe you violated these Terms or the Program Rules; engaged in fraud, prohibited trading, platform abuse, or unlawful conduct; created a security or legal risk; failed required verification; or failed to pay an authorized amount.

A rule breach may end the affected evaluation or simulated account. Previously approved and paid payouts will not be clawed back solely for a later good-faith rule breach, but Boxcar may correct a payment error and pursue remedies for fraud, falsified information, or an unlawful payment. Refund rights after suspension or termination are governed by the Disclaimer of Liability, Refunds, and Chargeback Policy and applicable law.

Suspension, liquidation, restriction, or termination of a live-capital account is also governed by the separate live-capital agreement and the terms of any designated brokerage provider.

To the fullest extent permitted by law, the Services are provided "as is" and "as available." Boxcar disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Boxcar does not warrant that the Services, market data, simulated executions, content, or results will be complete, accurate, uninterrupted, secure, or suitable for your objectives.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, an exclusion applies only to the maximum extent permitted by law.

To the fullest extent permitted by law, Boxcar and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunity, lost data, or business interruption, arising from or relating to the Services, even if advised that such damage was possible.

To the fullest extent permitted by law, the total aggregate liability of Boxcar and those parties for claims arising from a particular Service will not exceed the amount you paid Boxcar for that Service during the 12 months before the event giving rise to the claim.

These limits do not exclude liability that cannot lawfully be limited, including liability for Boxcar's fraud, willful misconduct, or gross negligence where applicable. Your statutory consumer rights remain unaffected.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Boxcar and its affiliates, officers, employees, and contractors from a third-party claim, loss, or reasonable expense (including reasonable attorneys' fees) arising from your unlawful use of the Services, your material breach of these Terms, or your violation of another person's rights. This obligation does not apply to the extent a claim was caused by Boxcar's own negligence or misconduct.

Before filing a claim, you and Boxcar agree to send written notice describing the dispute and requested resolution and to attempt a good-faith informal resolution for 30 days. Send notice to support@boxcartrading.com. This informal process does not prevent either party from seeking urgent injunctive relief or pursuing a claim that cannot lawfully be subject to pre-suit notice.

These Terms and disputes arising out of or relating to these Terms or the Services are governed by the laws of the State of New York and applicable federal law, without regard to conflict-of-law rules. This choice does not limit any mandatory consumer protection or other right that cannot be waived under the law applicable to you.

If a dispute is not resolved informally, you and Boxcar consent to the nonexclusive jurisdiction of the state and federal courts located in New York County, New York, provided the court has subject-matter jurisdiction. This does not restrict a right to bring a claim in another court where applicable law permits. These Terms do not require arbitration or waive a right to a jury or class proceeding where that right otherwise exists.

We may update these Terms by posting a revised version and effective date. Changes apply prospectively unless law requires otherwise. If a change materially affects an active paid program, we will provide additional notice when required and will not use the change solely to retroactively deny a benefit already earned under the Program Rules in effect when it was earned.

If a provision is held unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign your rights or obligations without Boxcar's consent; Boxcar may assign these Terms as part of a merger, financing, reorganization, or sale of the business.

Neither party is liable for delay caused by events beyond its reasonable control, but this does not excuse an obligation to refund or pay an amount that applicable law makes non-waivable. These Terms and the documents incorporated above are the entire agreement concerning the Services, except for a separate written agreement that expressly controls.

Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary, or franchise relationship between you and Boxcar, and neither party may bind the other except through an authorized written agreement.
